Debra specialises in transaction and shareholder disputes. She has extensive experience of advising and assisting clients as they prepare or review completion accounts, negotiate the purchase price, undertake expert determination procedures and pursue or defend breach of warranty claims. Debra's advice is focussed on helping vendors or purchasers protect or enhance the value of a transaction.  Where disputes arise, Debra advises clients in relation to settlement negotiations or formal dispute resolution proceedings, including expert determination. 

Debra regularly advises clients in their preparation of submissions to an expert, advising on the accounting aspects of completion accounts and earn-out disputes, and also on the interpretation of the relevant transaction agreements in the context of the expert determination process.

Debra has also been involved in advising clients in relation to a number of professional negligence matters, including disputes arising from alleged negligence by auditors and due diligence advisers.

Highlights of Debra's experience include:

  • Advising a large number of clients in relation to completion accounts and earn-out disputes that were resolved either in negotiations or through expert determination processes.  This has included global, European and UK-based clients.
  • Providing advice to clients on liability and quantum issues in relation to breach of warranty claims arising from acquisitions or disposals.
  • Advising clients in relation to joint venture disputes and assisting in the preparation of expert reports in relation to shareholder disputes involving company valuations.
  • Advising public and private sector clients in relation to construction disputes, including profit share agreements.
  • Advising major accountancy firms and accountants' disciplinary bodies in relation to professional negligence actions.
  • Providing advice to Receivers in relation to the liability and quantum of claims against auditors and former directors.
