PwC's Debt & Capital Advisory team acted as financial advisor to Magnesium Capital LLP on the acquisition of TMA Group Holdings Limited

PwC's Debt & Capital Advisory team is pleased to have advised Magnesium Capital LLP on raising debt finance, provided by Metro Bank, to fund the acquisition of TMA Group Holdings Limited (“TMA”).

Founded in 1987, TMA provides end-to-end metering and energy data management services to energy suppliers, third-party intermediaries and corporate customers across Great Britain. Through its integrated NexFlow technology platform, the Company provides services across more than 8.5 million electricity meter points, helping customers improve billing accuracy, settlement performance and regulatory compliance.

This transaction reinforces Magnesium Capital's strength across the European energy data sector, building on a proven track record of investing in differentiated, data-intensive, technology-led businesses at the forefront of the energy transition across Europe. Drawing on this deep sector expertise, Magnesium Capital will support TMA’s management team in continuing to build on the impressive growth delivered to date and to take advantage of the market opportunities created from the transition to market wide half hourly settlement (“MHHS”) across energy markets in Great Britain.

Metro Bank provided the acquisition financing through a term loan facility comprising amortising and bullet repayment tranches, providing flexibility to support TMA's continued growth.
