PwC’s Special Situations M&A team is pleased to announce that it has successfully advised Dunstall Holdings Group (“Dunstall”), on the disposal of two of its businesses: Altegra Integrated Solutions (‘AIS’) to Jofson Group, and Altegra Access & Security (‘AAS’) to Dorwingear Limited.
Dunstall, a well-established, diversified group with a strong presence in the UK’s agricultural machinery, materials handling, commercial vehicles, and integrated solutions sectors, had experienced recent market-wide challenges which impacted the underlying trading performance. Dunstall appointed PwC’s Special Situations M&A team to explore an accelerated sale of the Group, with the objective of recapitalising the business to provide a platform for future profitability.
Through a comprehensive sales process, the sales of two subsidiary businesses were executed by way of pre-packaged administrations, in which the majority of trade and assets associated with AIS and AAS were acquired by Jofson North Limited and Dorwingear Limited respectively. PwC provided comprehensive support throughout the process, assisting with the navigation of an accelerated sales process, facilitating negotiations with third parties, and managing due diligence, culminating in the successful execution of both transactions and preservation of approximately 90 jobs.
The PwC Lead Advisory team for these transactions was led by Jack Tedcastle, Richard Carter, Ryan Hyslop and Morgan Hammond.
“We are delighted to have completed the sales of Altegra Integrated Solutions and Altegra Access & Security while navigating a highly complex and uncertain situation. Delivering these transactions on an accelerated timetable was only possible through a coordinated effort between the dedicated management teams, the buyers, and PwC’s M&A and Restructuring practices, enabling completion in just over a month. We are pleased that these sales secure continuity of operations, safeguard employment, and ensure ongoing service to key customers across both businesses. We wish Jofson and Dorwingear every success as they take the businesses forward.”
