PwC advises 1892 Holdings, a consortium led by Amit Bhatia, on a strategic investment into Liverpool Football Club

PwC has acted as the principal professional services advisor to 1892 Holdings, a consortium led by Amit Bhatia, with investments from Amit Bhatia and Mittal Family Trusts, K5 Sports, with Jeff Bezos as the lead investor, and EE Capital, the family office of Elaine and Eduardo Saverin, in the acquisition of a strategic minority equity stake in leading Premier League Football Club, Liverpool FC.

A multi-disciplinary PwC team provided buy-side commercial, financial and tax due-diligence, alongside tax structuring and Sale and Purchase Agreement (SPA) advice. Commercial due diligence was led by David Trunkfield, Tom Karkeek and Danny Cowan. Financial due diligence was provided by Jason Wakelam, Ben Davison and Thomas Brooke-Hollidge with tax due-diligence and structuring led by Alkesh Patel, Ben Smith and Samuel Coulson. SPA support was provided by Hinesh Desai, Trevor Milne and Gareth Sum. PwC US Partner Andrew Barnett and Director Kolby Simon supported the financial due diligence workstream.

This engagement is the latest in a series of high-profile sports transactions led by PwC UK's growing sports practice in the last 12 months, including Bruin Sports Capital's investment into Matchroom Sport, Apollo's investments into Wrexham AFC and Atlético Madrid, and sell-side support to Brentford Football Club as part of investment from This Day and MARV.
