PwC Corporate Finance advised Tej Lalvani on the proposed sale of Vitabiotics, the UK’s leading vitamins company, to Bain Capital

PwC Corporate Finance is delighted to have advised Tej Lalvani on the proposed sale of Vitabiotics to Bain Capital, building on our strong credentials in the consumer health and wellness sector.

Vitabiotics was founded in 1971 by visionary scientist and entrepreneur, Professor Kartar Lalvani OBE, who pioneered the nutraceutical field and innovative science-based formulas, leading to whole new categories of supplements and sector-leading brands supporting specific health and life-stage needs. The company developed a comprehensive portfolio of trusted sub-brands covering all major therapeutic areas across all life stages, including Pregnacare, Perfectil, Wellman, Wellwoman, Osteocare, and Ultra.

Over the last decade under the leadership of his son, Tej Lalvani, Group Chief Executive Officer, the business has significantly accelerated its growth and leadership through product launches and partnerships. Today, Vitabiotics generates £275m+ sales and is the UK’s number 1 vitamins company with a global footprint comprising established operations in key global markets including India, China, Egypt and West Africa. The company also exports to 70+ countries globally.

Bain Capital is one of the most active investment management firms in the private equity industry, having invested c. $80 billion in more than 400 transactions since the firm’s inception in 1984. These investments include global brands such as Stada, Emcure, IQVIA, Ameritrade, Burger King, Domino’s Pizza, and Dunkin Brands. Bain Capital has c. $225 billion in assets under management.

Completion of the transaction remains subject to customary regulatory approvals and closing conditions.

PwC’s Corporate Finance team led by Tom Copeland and Nigel Espie advised Tej Lalvani throughout the transaction, with the support of Isaiah Lew, working alongside the CRS corporate team led by Ashwin Pillay and Ayman Shehata, who acted as Tej’s corporate legal advisers. They also worked alongside the wider suite of sell-side advisers on this landmark transaction.
