PwC Legal advises Aptiv on global legal entity separation for EDS spin‑off

PwC’s International Business Reorganisations (IBR) Legal team acted as the lead advisor to Aptiv PLC on the legal entity separation of the spin‑off of its Electrical Distribution Systems (EDS) business into a new, independent company, Versigent PLC, completed on 1 April 2026. The separation marks an important strategic step for Aptiv as it positions the EDS business for future growth.

PwC Legal’s mandate covered end‑to‑end coordination of local legal separation requirements across a globally integrated footprint. The programme involved significant scale and step‑by‑step complexity, ensuring that country‑specific legal requirements, entity readiness and execution steps were aligned to Aptiv’s overall spin‑off timetable. Working across more than 40 jurisdictions, PwC supported the legal arrangements required for the stand‑up of Versigent PLC.

The legal workstream operated in close collaboration with PwC specialists from Tax and Deals, ensuring alignment between legal structuring, tax considerations, separation planning, and Day 1 readiness. This integrated approach helped maintain consistent standards and cadence across local teams and supported timely decision‑making throughout the transaction.
