Appointment of Official Receiver and Special Managers

On 1 August 2025 the Companies entered liquidation. Gareth Jonathan Allen was appointed Official Receiver and Liquidator (“the Official Receiver”) of the Companies by the High Court. Following an application made by the Official Receiver, the Court also appointed Mark James Tobias Banfield, Edward Williams, Helen Laura Wheeler-Jones, Adam Seres and David James Kelly as Special Managers (“the Special Managers”) of the Companies to assist the Official Receiver with the liquidations. All other entities in the group currently remain outside of an insolvency process.    

The role of the Official Receiver and Special Managers 

The Official Receiver

The Official Receiver is an Officer of the Court in insolvency matters and is also an employee of the Insolvency Service, an Executive Agency of the Department for Business and Trade. The Official Receiver will wind-up the companies in accordance with his statutory duties. He also has a duty to investigate the cause of the Companies’ failure and the conduct of current and former directors. 

For the Companies, the Official Receiver’s priority is to ensure the continuity of services while securing the best outcome for creditors. When the Companies entered liquidation, employees were asked to continue to work as normal whilst the businesses are stabilised, the Companies’ affairs are reviewed and options considered for the transition of contracts to third parties in conjunction with the orderly wind-down of the businesses.

The Special Managers 

The Special Managers were appointed by the High Court to help manage the affairs, business and property of the Companies, in accordance with the powers and duties contained in the order appointing them. The Special Managers act as agents of the Companies, without personal liability. All are licensed in the United Kingdom to act as insolvency practitioners by the Institute of Chartered Accountants in England and Wales.

Gareth Jonathan Allen has been appointed as Official Receiver and Liquidator of Nottingham Rehab Limited and NRS Healthcare Limited. Special Managers have been appointed by the High Court to assist the Official Receiver in his statutory duties. The Special Managers act as agents of the companies to which they are appointed, without personal liability.

The Special Managers may act as Data Controllers of personal data as defined by UK data protection law depending upon the specific processing activities undertaken. PricewaterhouseCoopers LLP may act as a processor on the instructions of the Special Managers.
