The Special Managers will continue to pay rent and service charge while the Companies remain in occupation of any premises from the 1 August 2025. Any amounts owed prior to 1 August 2025 will rank as unsecured claims in the liquidation.

What has happened to the companies?
On 1 August 2025 the Companies entered liquidation. Gareth Jonathan Allen was appointed Official Receiver and Liquidator (“the Official Receiver”) of the Companies by the High Court. Following an application made by the Official Receiver, the Court also appointed Mark James Tobias Banfield, Edward Williams, Helen Laura Wheeler-Jones, Adam Seres and David James Kelly as Special Managers (“the Special Managers”) of the Companies to assist the Official Receiver with the liquidations.

At the present time the Companies are continuing to trade as normal whilst the Special Managers conduct an immediate review of their affairs. Our intent is to maintain service provision as business as usual to the extent that this is possible.
What is a liquidation?
A compulsory liquidation is when a company is ordered by a court to be wound up, for example, on the petition of a creditor or creditors on the grounds that the company cannot pay its debts.
What is a Special Manager?
Special Managers can be appointed by the court on the application of the Official Receiver to manage the business or property of a company when a company has gone into a liquidation.
What is the current position?
The Companies are continuing to trade with support funding from UK government, whilst options for the various businesses are considered.
Are the companies intending to remain in occupation?
Yes, unless advised otherwise, we’re presently asking landlords to provide services as normal.
Your co-operation will allow the Companies to continue trading with minimal disruption.
If I have arrears in rent will these be paid?
Amounts due at the date of Liquidation will be a claim against the Companies.
Rent accruing during the Liquidation will be paid as an expense from Companies’ assets.
What is your intention with the Property?
It is too early to speculate on the Companies requirements for each property at the moment, however in the meantime we would be grateful if you could provide a copy of the lease/license, any insurance policies held (if applicable), rent review memorandums, outstanding rent reviews or any other matters you think we should be aware of.
A letter will be issued to all Landlords shortly.
